2026年8月21日至22日，受中國民營經濟研究會委託，北京德諭澤律師事務所承擔的“中國民營企業家族傳承法律風險管理研究”課題在內蒙古自治區開展首站實地調研法律。
本次調研旨在深入瞭解內蒙古代表性民營企業在家族傳承方面的現狀、經驗與面臨的挑戰，系統梳理傳承過程中涉及的股權結構、治理機制、法律風險等核心問題，為課題研究提供紮實的一手素材法律。
內蒙古作為本次調研的首站，其民營企業在農牧業、能源、礦產、生態等領域的傳承問題具有突出的典型性和研究價值法律。近年來，內蒙古民營經濟發展迅速，截至2025年底，全區民營經濟經營主體總量達289.95萬戶，同比增長5.49%，佔全部經營主體的94.98%，其中私營企業67.77萬戶、個體工商戶222.18萬戶。一批具有代表性的民營企業正面臨代際傳承的關鍵時期，亟需系統性的法律風險管理研究與指導。

8月21日上午，課題組在蒙召開集中座談會法律。內蒙古自治區工商聯組織10餘位來自農牧業、能源、礦產、餐飲、生態等領域的代表性家族企業負責人參會。中國民營經濟研究會、內蒙古自治區工商聯有關領匯出席，北京德諭澤律師事務所創始人高鳴飛律師、北京德諭澤律師事務所聯合創始人宋軍律師參加調研。
與會企業家們圍繞企業發展歷程與行業概況、股權架構與控制權安排、決策機制與治理結構、代際傳承與接班人培養、家族文化與凝聚力、傳承中的法律風險與挑戰、傳承工具與使用、政策建議等方面暢所欲言法律。討論務實深入、坦誠直接，為課題研究提供了鮮活的一手素材。
當天下午次日上午，課題組先後深入孫氏工貿、老綏元餐飲、鑫祥電力三家企業進行實地走訪，重點了解了企業在傳承過程中的股權安排、治理機制、代際溝通機制，以及老字號品牌在代際傳承中的文化延續、連鎖經營與組織形式、法律風險等現實挑戰法律。
接下來，課題組還將赴廣東、福建、浙江等省份繼續開展實地調研，力求為中國民營企業家族傳承的法律風險管理提供切實可行的路徑參考法律。（餘澤坤）
From August 21 to 22, 2026, upon the request of the China Private Economy Research Association, the research team responsible for the “Legal Risk Management Studies on the Inheritance of Family Businesses in China” conducted its first field research in Inner Mongolia Autonomous Region. This research was carried out by Beijing De Law Office.
The purpose of this survey was to gain a deep understanding of the current situation, experiences, and challenges related to family inheritance in representative private enterprises in Inner Mongolia. It aimed to systematically examine key issues such as equity structure, governance mechanisms, and legal risks involved in the process of inheritance, thereby providing solid first-hand data for the research.
As the first site of this survey, Inner Mongolia’s private enterprises face significant challenges related to family inheritance in fields such as agriculture and animal husbandry, energy, minerals, and ecology. In recent years, the private economy in Inner Mongolia has developed rapidly. By the end of 2025, the total number of private enterprise entities in the region reached 2.8995 million, an increase of 5.49% compared to the previous year. This represented 94.98% of all business entities; among them, there were 677,700 private enterprises and 2.2218 million self-employed individuals. A number of representative private enterprises are currently at a critical stage in their family inheritance processes, and thus require systematic legal risk management research and guidance.
On the morning of August 21, a meeting was held in Meng by the research team. More than ten representatives from representative family-owned enterprises in fields such as agriculture and animal husbandry, energy, minerals, catering, and ecology were invited to attend the meeting organized by the Inner Mongolia Autonomous Region Federation of Industry and Commerce. Leaders from the China Private Economy Research Association and the Inner Mongolia Autonomous Region Federation of Industry and Commerce also participated, along with lawyer Gao Mingfei, founder of Beijing Deyuze Law Firm, and lawyer Song Jun, co-founder of Beijing Deyuze Law Firm, who joined the research.
The entrepreneurs present shared their thoughts on various topics, including the development history and industry overview of enterprises, equity structure and control arrangements, decision-making mechanisms and governance structures, generational succession and the training of successors, family culture and cohesion, legal risks and challenges in succession, tools and methods used in succession, and policy recommendations. The discussions were practical, thorough, and straightforward, providing valuable insights for the research work.
That afternoon and the next day, the research team visited three companies—Sunshi Industry and Trade, Laoxu Yuan Catering, and Xinxiang Power—to gain a deeper understanding of their equity arrangements, governance mechanisms, and intergenerational communication processes. They also examined the cultural continuity, chain operations, organizational forms, and legal risks associated with the transmission of traditional brands across generations.
Next, the research team will continue its field studies in provinces such as Guangdong, Fujian, and Zhejiang, aiming to provide practical guidance for managing legal risks related to the family inheritance of Chinese private enterprises. (Yu Zekun)
